ECSPR Crowdfunding Regulation: EU Compliance Guide

The European Crowdfunding Service Provider (ECSPR) regulation (EU 2020/1503) governs real estate crowdfunding platforms in the EU. It imposes mandatory licensing, investor protection measures, disclosure requirements, and significant compliance obligations.

This page explains the ECSPR framework in detail. A royalty-based arrangement is not automatically exempt: whether ECSPR, MiFID II or national rules apply depends on the actual investor rights, contract terms and platform activity.

    What Is ECSPR Regulation?

The ECSPR regulation came into full effect in November 2023, creating a harmonized framework for crowdfunding platforms operating across the European Union. It covers both lending-based and investment-based crowdfunding for project offerings up to €5 million.

ECSPR applies when platforms facilitate the matching of business funding interests of investors and project owners through the use of a crowdfunding platform — specifically for transferable securities (equity) or loans.

    Key Dates

    • • November 2021: Regulation entered into force
    • • November 2022: Transition period began
    • • November 2023: Full compliance mandatory for all platforms

    ECSPR Licensing Requirements

    Authorization Process

Platforms must obtain authorization from their national competent authority (NCA):

    • Demonstrate sound management and governance
    • Meet minimum prudential requirements (€25,000 or ¼ of fixed overheads)
    • Implement business continuity arrangements
    • Establish complaint handling procedures
    • Maintain professional indemnity insurance or equivalent
    • Pass fit and proper assessments for key personnel

    Capital Requirements

    • • Minimum €25,000 own funds OR
    • • One quarter of fixed overhead costs for preceding year
    • • Whichever is higher
    • • Additional capital buffers may be required

    Key Investment Information Sheet (KIIS)

    Mandatory Disclosure Document

Every project must have a standardized KIIS containing:

    • • Project description and objectives
    • • Risk factors and warnings
    • • Fees, charges, and costs
    • • Expected return (if applicable) and loss scenarios
    • • Project owner information
    • • Use of funds breakdown
    • • Securities/loan terms

    Reporting & Governance Obligations

    Due Diligence on Project Owners

Platforms must conduct background checks on borrowers/issuers, including financial health, management reputation, and business plan viability.

    Conflict of Interest Management

Platforms cannot invest in projects on their own platform. Related party transactions must be disclosed.

    Default Rate Publication

Annual disclosure of default rates for the previous 36 months, calculated according to standardized methodology.

    Client Asset Segregation

Investor funds must be held in segregated accounts with authorized credit institutions or payment service providers.

    Business Continuity

Arrangements must ensure orderly administration of loans/securities if the platform ceases operations.

    Risks & Limitations of ECSPR

    Limitations

    • €5 million cap per project (12 months)
    • Investment limits for retail investors (€1K or 5%)
    • No deposit guarantee coverage
    • Platform failure risk remains
    • 12-24 month licensing timeline
    • High ongoing compliance costs

    Royalty Contracts: Compliance Questions

    • Does the contract amount to a transferable security?
    • Does it create a repayment obligation resembling a loan?
    • Can the agreement fall within other investment rules?
    • What investor restrictions apply in each jurisdiction?
    • Does the ECSPR offer threshold apply to this structure?
    • Has qualified counsel reviewed the legal classification?

Why Royalties Are Not Financial Instruments

ECSPR covers specified investment-based and lending-based crowdfunding activities. A royalty model may use contractual revenue rights, but its legal classification needs analysis of substance, transferability, repayment terms and applicable national law:

    • Ownership rights: Check whether investors receive shares, beneficial interests or other transferable rights
    • Repayment terms: Assess whether the investor has an unconditional right to repayment
    • Revenue rights: Contractual cash-flow rights may still raise securities or other financial regulatory questions
    • Pooling and management: Assess whether assets, proceeds or investor interests are pooled or centrally managed

A royalty label alone does not establish an exemption. Confirm the regulatory treatment with qualified counsel for each jurisdiction and offering before making claims to investors.
